10. Sanctions and Prohibited Jurisdictions
Sanctions, Prohibited Jurisdictions, and Anti-Bribery Compliance

Each Party represents, warrants, and covenants to the other Party, on an ongoing basis for the duration of this Agreement, that:
  • 1.1 Neither it, nor any of its subsidiaries, directors, officers, employees, or Ultimate Beneficial Owners (holding 25% or more ownership or control) is a designated target, listed individual, or entity subject to economic or financial sanctions administered or enforced by the Monetary Authority of Singapore (MAS), the United Nations Security Council (UNSC), the US Office of Foreign Assets Control (OFAC), the European Union (EU), or the United Kingdom (UK) (collectively, “Sanctions”).
  • 1.2 It is not located, organized, resident in, or operating from a country or territory subject to comprehensive country-wide Sanctions or designated as high-risk by the company, specifically including the Russian Federation, Iran, North Korea, Syria, Cuba, and specified regions of Ukraine.
  • 1.3 No introductions made under this Agreement shall involve any entity, citizen, or resident of the Russian Federation, nor shall any transaction resulting from an introduction facilitate business, trade, or investment connected to Russia.
  • 1.4 Any third-party company or entity introduced by the Consultant under this Agreement shall be subject to these exact screening standards. The Client warrants it will not use any introduction to violate these restrictions.
2. Anti-Bribery and Corruption (ABC)
  • 2.1 Each Party shall comply with all applicable anti-bribery and corruption laws, including but not limited to the Singapore Prevention of Corruption Act (PCA), the US Foreign Corrupt Practices Act (FCPA), and the UK Bribery Act 2010.
  • 2.2 The Parties strictly prohibit the offering, giving, soliciting, or receiving of any bribe, kickback, or illicit payment (whether in cash, gifts, hospitality, or any other benefit) to any public official, private individual, or counterparty to secure an improper business advantage or to influence an introduction.
  • 2.3 All introduction fees, success fees, and commissions paid under this Agreement represent legitimate compensation for services rendered and shall be recorded transparently in each Party’s financial books.
3. Breach, Termination, and Indemnity
  • 3.1 If either Party breaches any provision of this Clause, or if fulfilling this Agreement would cause a violation of Sanctions or ABC laws, the non-breaching Party has the right to terminate this Agreement immediately upon written notice.
  • 3.2 Upon termination under this Clause, Lava IP International Pte Lts is relieved of all performance obligations, and no fees or commissions shall be due or payable for any affected transaction.
  • 3.3 The breaching Party agrees to indemnify, defend, and hold harmless the other Party from any claims, losses, fines, legal fees, or liabilities resulting from a breach of this Clause.
